This document contains the Terms of Use ("Terms of Use") as an electronic record pursuant to the provisions of the Information Technology Act, 2000, and the rules, regulations and guidelines enacted thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.
Platform
Please note that (i) the software application, for use on small and wireless/computing devices such as smartphones, tablets, and for use on desktop/computers, under the name and style of SuperPass (the "Application"); and (ii) the domain name www.superpass.in (the "Website") are owned, managed, and operated by SuperPass Technologies Pvt. Ltd., a private limited company incorporated under the laws of India (hereinafter collectively referred to as "SuperPass", "Company", "We", "Us", or "Our"). The terms 'Application' and 'Website' are hereinafter collectively and severally referred to as "Platform".
General Terms
- 1For the purpose of these Terms of Use, wherever the context so requires, the terms "You", "Your", or "User" shall mean any person who accesses, browses, uses, or visits the Platform or registers on the Platform or avails any of the Services (as defined below).
- 2The Platform offers a variety of content, services, and products including fitness centre access, AI-powered training, nutrition consultation, and third-party content services (collectively referred to as the "Services") and Product Purchase Facility.
- 3The Terms of Use contained in this electronic record are read together with (i) the Privacy Policy of the Company available at superpass.in/privacy-policy; and (ii) the guidelines, rules, terms, conditions and/or policies and procedures (collectively "Company's Policies").
- 4IN CASE YOU DO NOT AGREE WITH THESE TERMS OF USE, THEN PLEASE REFRAIN FROM USING AND ACCESSING THE PLATFORM, REGISTERING ON THE PLATFORM, AND AVAILING ANY OF THE SERVICES ON THE PLATFORM.
- 5By availing the Services, you are deemed to have agreed to these Terms of Use and all the policies of the Company/Platform.
Definitions
"Fitness Content"
Shall mean and include such content, information, text, graphics, video, audio, pictures, sound, or real-time online sessions, especially pertaining to fitness, healthy lifestyle, diet, and nutrition, placed on the Platform and provided by Third Party Content Providers.
"Fitness Centre Facility"
Shall mean enabling and facilitating Users who have subscribed to relevant SuperPass Product(s) to access and use benefits of Fitness Centres within the SuperPass Network.
"Fitness Training Feature"
Shall mean a service/facility provided on the Platform which gives the User access to AI-enabled training, coaching, and workout plans through curated audio or visual content or videos pertaining to fitness, healthy lifestyle, diet, nutrition, etc.
"SuperPass Network"
Shall mean such locations and territories where the User can avail the features, access, and benefits of the Fitness Centre Facility, including cities such as Delhi, Mumbai, Bangalore, Hyderabad, Chennai, Pune, Kolkata, and other cities as updated from time to time.
"SuperPass Products"
Shall mean and include such product(s) offered on the Platform which facilitates the Users in availing the Services.
"SuperPass Basic"
Shall mean a SuperPass membership in which a User can reserve or attend up to 5 workouts at any fitness centre within the SuperPass Network.
"SuperPass Premium"
Shall mean a SuperPass Membership in which a User can reserve and attend unlimited workouts at any fitness centre within the SuperPass Network.
"Force Majeure Event"
Shall mean any event arising due to any cause beyond the reasonable control of the Company, including insolvency, labor unrest, war, commotion, natural calamities, strikes, change in Applicable Law, which materially restricts provisions of Services offered on the Platform.
"Third Party Fitness Centres"
Shall mean various gymnasiums/fitness studios/classes run by third parties, within the SuperPass Network.
"User Data"
Shall mean the data and information as may be required by the Company for the purposes of registering/onboarding the User (name, email ID, phone number, etc).
Registration Process

In order to avail, access, and use Services, you are required to create an account on the Platform and become a registered User.

Sign-up requires a request for a one-time password (OTP) via mobile number. After OTP verification, you can create your User Profile.

By registering, you agree to all Terms of Use, Privacy Policy, and Company's Policies.

You must provide accurate and correct information at sign-up and update it in case of changes.

You shall log out of your User Profile at the end of each session to ensure security.

The Company reserves the right to suspend or terminate the User Profile if information is false or security is compromised.

You are solely responsible for maintaining the confidentiality of your login details.
Privacy
We respect the privacy and confidentiality of your data. Provisions pertaining to private information are governed under the Company's Privacy Policy.
Regarding your private data, We will only collect and process such information in accordance with our Privacy Policy, which you accept by your use and access of the Platform.
Use of Platform

For the use and access of the Platform, you must be 18 (eighteen) years of age or older.

Access can be availed only by individuals who can form a valid contract as per the Indian Contract Act, 1872.

You agree to use the Platform lawfully and honestly, complying with all rules, regulations, and legislations.

You agree not to interfere with, jeopardize, or harm the Platform or its coding/system data.
- 5
We will provide reasonable help to access the Platform but are not responsible if you are unable to for any reason.

We may suspend access at any time to investigate complaints or alleged violations.
Code of Conduct
Under these Terms of Use, the User agrees not to host, display, upload, or share any information that:
Payments & Refunds

Required payment must be made through the gateway available on the Platform.

Prices are inclusive of taxes unless stated. Pricing is subject to change without notice.
- 3
Refunds are subject to the published refund policy. Delay by banking institutions is not our liability.
- 4
Extra charges incurred using your payment mechanism are not our responsibility.
- 5
Failed transactions will be refunded within 7-10 working days after verification.
Intellectual Property
All intellectual property on the Platform (text, audio, video, logos, code) is the property of the Company and protected under Indian laws.
- ●Structure shall not be reproduced without written consent.
- ●copying, creating derivative works, or recording is strictly prohibited.
- ●Usage is restricted to private, non-commercial purposes only.
Termination
The Company may terminate your access at any time for any reason, including breach of terms, without prior notice.
- Self-Termination: You may terminate by stopping access or closing your User Profile.
- Cause for Termination: Breach of laws, Privacy Policy, or inability to verify information.
Liability
In no event shall the total aggregate liability of the Company to any user exceed:

Maximum Aggregate Amount
We are not liable for incidental, indirect, or consequential damages resulting from loss of data or profits. Reliance on third-party providers is at User's risk.

THIS PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR CONTENT OF THE PLATFORM.
YOUR USE OF FACILITIES, PRODUCTS, AND ACTIVITIES IS AT YOUR SOLE RISK. WE ARE NOT LIABLE FOR ANY INJURY OR DAMAGE ARISING FROM THIRD-PARTY SERVICE PROVIDERS.
